License Agreement

1.LICENSE GRANT. Subject to the terms of this Agreement, Submitter grants to DFF a personal, non-transferable, non-sub licensable, non-assignable, non-exclusive and limited license to use the Licensed Materials [submitted film/material] for the sole purpose of integrating and using the submitted material exclusively for use by DFF in the Disposable Film Festival or promotion of it. It is expressly understood and agreed by DFF that a License is granted for, and limited to, the uses specified in this Agreement, and that DFF is obligated to purchase/obtain an additional License, subject to such terms and conditions to be agreed upon by the parties at such time.

2. RESTRICTIONS. Submitter hereby reserves any rights not expressly granted under the License and retains title and full ownership rights as provided under Section 3 below. Except as specifically provided in this Agreement, Submitter is not obligated to provide, and DFF shall not acquire, any rights with respect to the submitted material/film except as otherwise provided under Section 1 above. DFF shall not, nor permit any third party (a) to disassemble, decompile, or reverse engineer or otherwise reduce the submitted materials to any other humanly perceivable form; or (b) modify, adapt, encumber, sublicense, assign, loan or create derivative works based upon the submitted materials, the Source Code or any part thereof; or (c) copy the submitted materials (other than as may be required to carry out the purposes set forth in Section 1); or (d) rent, lease, assign, transfer, sell, sublicense or use the submitted materials for service bureau purposes or any other purposes outside the scope of the License.

3. OWNERSHIP. The submitted materials and any copies thereof are the property of Submitter; the submitted materials are licensed and not sold to DFF and are protected by United States and international copyright, trademark, trade secret laws, as well as certain international treaty provisions and all other applicable State and Federal laws. DFF expressly acknowledges and agrees that the submitted materials, upgrades, derivatives thereof, improvements, enhancements, corrections, and all intellectual property rights thereto and all other materials pertaining to the submitted materials, are and shall remain the sole and exclusive property of Submitter, and nothing in this Agreement, or in any other documentations shall be construed as assigning or transferring such ownership rights to DFF or any of its affiliates.
